These Terms of Use (the "Terms") apply to and govern the use of Become the Need mobile applications web portal, website, and any other mobile or online service and applications owned, controlled, or offered by Become the Need now or in the future (the "Platform") provided and operated by Vector Labs (hereinafter, "Become the Need," "we," or "us").
Please read these Terms set forth below carefully, as they constitute a binding legal contract between you, the application user, as such terms are defined below, or otherwise (from now on, "User" or "you"), and Become the Need.
By entering or using our Platform, whether you register or not, you agree to be legally bound by the Terms of Service set forth below. To use this Platform, you must agree to all the terms, conditions, and notices below, including Become the Need's Privacy Policy (from now on collectively, the "Terms" or "Agreement"). If you do not accept all terms and conditions stated on this page, please discontinue using the Platform immediately and do not access or use any portion of the Platform or Services until you are able to agree to all terms and conditions.
These Terms will apply even if you have signed another agreement with Become the Need which would otherwise limit the applicability of these Terms to you through an "Entire Agreement" or similar clause.
Become the Need reserves the right, at its sole discretion, to discontinue or modify the Platform and any of our Terms, including any fees, and Privacy Policy, as we deem necessary or desirable, without prior notice. If we make any substantial changes, we will notify you by email to the address registered with your account or by posting a notice of the change on the Platform. Any changes to these Terms will be effective upon the earlier of our dispatch of an email notice to you or our posting of notice of the changes on the Platform. Your continued use of the Platform and/or Service following any such changes will constitute acceptance and agreement to such changes. If you do not accept the changes, you must discontinue use of our Platform.
The service offered by Become the Need through the Platform provide users with tools, guidance, and interactive resources designed to enhance professional development and assist in interview preparation (the "Service"). In order to enable you to receive the Service from Become the Need, you must create and maintain an account on our Platform or use your Google account information or third-party credentials. By creating and/or using an account on our Platform, you acknowledge and agree that: (1) you are not a business competitor and have no affiliation with a business competitor to Become the Need; (2) you will not use the Platform and/or the Service for purposes of creating and/or developing competing products, benchmarking or similar purposes; and (3) the information you provide to us in connection with our Platform and/or Service is current, accurate and complete.
Access to the Services may require a paid subscription. Become the Need offers multiple subscription tiers. Each tier is subject to its own pricing, features, and usage limitations as described within the Platform and may be updated from time to time at Become the Need's sole discretion. By selecting a paid plan, you authorize Become the Need (and its third-party payment processor) to charge the applicable fees to your chosen payment method.
You acknowledge and agree that the Platform may use your device's internet connection, push notifications, and other mobile functions to deliver the Services updates, and communications related to your account. Any fees from your mobile data or cellular provider to receive and respond to email notifications, push notifications, and other mobile functions in our Platform are your sole responsibility.
You can also change your password in our Platform and we recommend that you safeguard your password at all times and change the password periodically.
You may access and use the Platform solely for your personal, non-commercial, and lawful purposes in connection with career development, interview preparation, and related professional growth activities offered by Become the Need. YOU AGREE TO NOT USE THE PLATFORM FOR ANY PURPOSE THAT IS ILLEGAL, FRAUDULENT, OR INCONSISTENT WITH THIS AGREEMENT. YOU ARE SOLELY RESPONSIBLE FOR ALL COSTS, EXPENSES, LOSSES, AND LIABILITIES INCURRED, AND FOR ALL ACTIVITIES YOU UNDERTAKE, IN CONNECTION WITH YOUR USE OF THE PLATFORM AND/OR THE SERVICE.
YOU AGREE TO PAY ALL SUBSCRIPTION FEES AND OTHER CHARGES ASSESSED THROUGH THE PLATFORM FOR YOUR SELECTED PLAN OR TIER, EVEN IF THE PRICE OR CHARGES CANNOT BE DISPLAYED AT THE TIME OF USE DUE TO CONNECTIVITY ISSUES OR OTHER TECHNICAL LIMITATIONS. IF YOU DO NOT AGREE TO PAY SUCH FEES, DO NOT USE THE PLATFORM, SUBSCRIBE TO ANY PLAN, OR CLICK "ACCEPT" BELOW. BECOME THE NEED MAY EMPLOY MEASURES TO DETECT AND PREVENT FRAUDULENT OR ABUSIVE USE OF THE PLATFORM, AS WELL AS MISUSE OF THE SERVICE. IF WE DETERMINE, IN OUR SOLE DISCRETION, THAT YOU HAVE ENGAGED IN ANY FRAUDULENT, ABUSIVE, OR IMPROPER USE OF THE PLATFORM, WE RESERVE THE RIGHT TO IMMEDIATELY SUSPEND OR TERMINATE YOUR ACCOUNT AND ACCESS TO THE SERVICES WITHOUT REFUND OR PRIOR NOTICE.
You must be at least twenty-one (21) years of age or a legally emancipated individual to access or use the Platform and the Services. By using the Platform, you represent and warrant that you meet this requirement and have the legal capacity to enter into this Agreement. You may not attempt to modify, adapt, translate, make derivative works, or disassemble, decompile, or reverse engineer any part of the Platform, or otherwise attempt to discover its source code, structure, implementation details, proprietary algorithms or trade secrets. You may not utilize any automated tools, scripts, bots, or similar technological means to access, monitor, or extract data from the Platform or Service without our express written consent.
YOU MAY NOT USE THE PLATFORM AND/OR THE SERVICE FOR ANY ACTIVITY THAT CONSTITUTES, OR ENCOURAGES CONDUCT THAT WOULD CONSTITUTE, A CRIMINAL OFFENSE, GIVE RISE TO CIVIL LIABILITY OR OTHERWISE VIOLATE ANY APPLICABLE LAW.
These Terms shall continue in full force and effect until you cease to use the Platform and/or the Service, provided that these Terms shall continue to be applicable to any of your past use of the Platform in perpetuity.
Become the Need may terminate your account at its sole discretion, for any reason or no reason at all. You may also discontinue using the Platform and/or the Service and terminate your account anytime. However, the termination of your access to the Platform and/or the Service will not release any of the parties from any obligations incurred before the termination. Furthermore, Become the Need may retain and continue to use any information provided by you for internal purposes. Termination of the account does not entitle you to a refund of any subscription fees paid, except as expressly provided in these Terms or required by law.
The Platform incorporates artificial intelligence ("AI") to provide personalized recommendations, feedback, and automated insights designed to assist users in career development, interview preparation, etc. You acknowledge and agree that any responses, suggestions, or materials generated by the Platform's AI features are provided for informational and educational purposes only and should not be relied upon as professional, legal, employment, or career advice. While Become the Need endeavors to ensure that AI-generated output is helpful and relevant, the accuracy, reliability, and suitability of such output may vary and is not guaranteed.
You are solely responsible for evaluating the accuracy, suitability, and applicability of any AI-generated responses or recommendations before relying on them. Become the Need makes no representations or warranties regarding the reliability, completeness, or correctness of any AI-produced output and expressly disclaims any liability arising from your reliance on such information. Users are strongly encouraged to exercise independent judgement, verify facts, and consult qualified professionals when making career, legal, or other significant decisions.
All rights, title and interest, including copyrights, patents, trademarks, trade names, trade secrets and other intellectual property rights, and any goodwill associated therewith, in and to the Platform and/or the Services or any part thereof, including computer code, graphic design, layout and the user interfaces of the Platform are and will remain at all times, owned by, or licensed, to Become the Need and is protected by the United States and international copyright laws. You are not acquiring any rights to the intellectual property, brand, or trademarks related to the Platform and/or the Services, other than the limited right to use the Platform solely as permitted under these Terms and solely while you are in compliance with these Terms.
We will use reasonable efforts to have the Platform and the Service operate properly. However, as a Platform and Service that relies on software, artificial intelligence, third-party servers, networks, and data-processing infrastructure, we do not guarantee that the Platform and/or Service will operate in an uninterrupted or error-free manner, or that it will always be available, free from errors, omissions or malfunctions. If we receive notice of any failure or malfunction in the Platform and/or the Service, we may take such actions as we deem appropriate, which may include correcting such error or failure, but we do not guarantee that we will do so or that any correction will be permanent.
We may, at any time and in our sole discretion, discontinue or terminate the operation of the Platform and/or the Service, or any part thereof, temporarily or permanently, for all users of the Platform, or for certain Users, without any liability to you. We may also suspend the Platform and/or the Service, in whole, or in part, for all Users, or for certain Users, for periodic maintenance or similar purposes, without any liability to you.
We may, in our discretion but without being obligated to do so, maintain the Platform and/or the Service with updates, modifications, adaptations, improvements, or enhancements to the Platform and/or the Service, or any of its features, user interfaces, designs or any other aspect related to it. We may do so without being obligated to provide you notice thereof.
The Platform includes features powered by artificial intelligence. While these tools are designed to provide personalized feedback and professional guidance, they operate based on general data models and should not be considered as professional or individualized advice. Become the Need does not guarantee, represent, or warrant that the use of the Platform or the Services will lead to employment, job placement, interview selection, or any other specific professional outcome. Any reliance on AI-generated recommendations, suggestions, or materials is undertaken entirely at your own risk.
WE DO NOT GUARANTEE, NOR DO WE MAKE ANY REPRESENTATION, AND WE PROVIDE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY OR COMPLETENESS OF THE PLATFORM AND/OR THE SERVICE. THE PLATFORM IS PROVIDED TO YOU "AS IS" AND "WITH ALL FAULTS" AND YOUR USE OF THE PLATFORM AND/OR THE SERVICE IS AT YOUR OWN RISK. WE DISCLAIM ALL WARRANTIES AND REPRESENTATIONS, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE PLATFORM AND/OR THE SERVICE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, NON-INFRINGEMENT, TITLE, COMPATIBILITY, PERFORMANCE, SECURITY OR ACCURACY.
THIS SECTION SETS OUT BECOME THE NEED'S TOTAL LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM AND/OR THE SERVICE, IN NO EVENT SHALL BECOME THE NEED BE LIABLE, WHETHER UNDER CONTRACT, TORT, STATUTE OR OTHERWISE, FOR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL LOSS OR FOR ANY LOSS OF USE OR DOWNTIME, LOSS OF PROFITS, SAVINGS OR REVENUES, LOSS OF GOODWILL OR LOSS OF BUSINESS IN CONNECTION WITH YOUR USE OF THE PLATFORM AND/OR THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AND AGGREGATE LIABILITY OF BECOME THE NEED, ITS AFFILIATES AND ITS AND THEIR EMPLOYEES, DIRECTORS, OFFICERS, SHAREHOLDERS, ADVISORS, AND ANYONE ACTING ON BECOME THE NEED'S OR THEIR BEHALF, FOR ANY AND ALL DAMAGES TO YOU OR ANY OTHER PARTY ARISING OUT OF OR RELATED TO THESE TERMS, THE PLATFORM OR THE SERVICE, SHALL BE LIMITED TO THE FEES FOR THE PLATFORM AND/OR THE SERVICE PROVIDED HEREUNDER (IF ANY) THAT YOU ACTUALLY PAID DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT THAT GAVE RISE TO THE LIABILITY OR ONE HUNDRED U.S. DOLLARS (US $100), WHICHEVER IS LOWER.
You agree to indemnify and hold harmless Become the Need and its affiliates and its and their directors, officers, employees, and vendors, upon Become the Need's request and at your expense, from, and against, any damages, loss, costs, expenses and payments, including reasonable attorney's fees and legal expenses, arising from any: (i) breach of any provision or representation herein, or (ii) any claim arising directly or indirectly from Your negligence or willful misconduct in connection with your use of the Platform and/or the Service. This indemnity obligation shall survive the termination of these Terms.
As a convenience, the Platform may contain links, integrations, or references to third-party websites, services, software, products, or other materials (collectively, "Third-Party Materials"). Such Third-Party Materials may include, without limitations, external career resources, communication tools, payment processors, advertising and promotional content. By offering access to or linking to such Third-Party Materials, Become the Need does not endorse or assume responsibility for the availability, accuracy, completeness, reliability, or legality of any Third-Party Materials or for any products or services made available through them.
You acknowledge and agree that Become the Need has no control over, and shall not be responsible or liable for, any Third-Party Materials or for any loss or damage of any kind incurred as a result of your access to, use of, or reliance on any Third-Party Materials, whether or not such materials were accessed through or linked from the Platform or the Services. You access and use all Third-Party Materials entirely at your own risk and discretion.
Certain functionalities of the Platform, including payment processing, may be facilitated through third-party service providers such as Stripe, PayPal, Authorize.net, or any other applicable provider. The use of such service is governed by the applicable third party's own terms of service and privacy policy, which may differ from Become the Need's. You are solely responsible for reviewing and complying with any such terms before using third-party services. Your use of any Third-Party Materials is at your sole risk and discretion, and you acknowledge that Become the Need is not a party to any agreements between you and third-party providers.
Payments are non-refundable, and there are no refunds or credits for partially used periods. However, after any cancellation, you will continue to have access to the Platform until your current billing period ends. At any time and for any reason, we may provide a refund, discount or other consideration to some or all of our customers ("Credits"). The amount and form of such credits, and the decision to grant them, are at our sole and absolute discretion. The provision of Credits in one instance does not entitle you to credits in the future for similar instances, nor does it obligate us to provide credits in the future, under any circumstances.
In the event of a dispute, claim, or controversy arising out of or relating to these Terms (a "Dispute"), each Party will provide the other Party with written notice of the Dispute as soon as practicable, and the Parties agree to exercise reasonable efforts to resolve the Dispute amicably. A Dispute that cannot be resolved within thirty (30) days following the initiation of discussions contemplated by the prior sentence will, upon written demand of either Party, be resolved exclusively by binding arbitration to be conducted in San Juan, Puerto Rico, in accordance with the Commercial Arbitration Rules of the American Arbitration Association and in accordance with the laws of the Commonwealth of Puerto Rico. The arbitration shall be conducted by a single arbitrator, selected in accordance with the rules governing such arbitration. Except as may be required by law, the Parties shall maintain the confidentiality of all proceedings, including hearings and submissions. The arbitrator's decision shall be final, binding and non-appealable. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.
Regardless of your jurisdiction of residence, or the jurisdiction from which you access the Platform and/or the Service, your use of the Platform and/or the Service and these Terms will be exclusively governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico. Notwithstanding the foregoing, (a) Become the Need may lodge a claim against you pursuant to the Indemnity clause above, in any court adjudicating a third-party claim against Become the Need, and (b) if for any reason it is found that arbitration is prohibited, the competent jurisdiction venue for any dispute arising hereunder shall be in San Juan, Puerto Rico, and the parties hereby irrevocably consent and submit to the jurisdiction of said court.
These Terms (together with any underlying Incorporating Agreement) constitute the entire and complete agreement between you and us concerning the subject matter herein and supersede all prior oral or written statements, understandings, negotiations and representations with respect to the subject matter herein. If any provision of these Terms is held invalid or unenforceable, that provision shall be construed in a manner consistent with the applicable law to reflect, as nearly as possible, the original intent of the provision, and the remaining provisions of these Terms shall remain in full force and effect.
We shall not be liable for inadequacy of or irregularity in the Service caused by (i) any circumstance beyond our reasonable control, including acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems, technical failures (including failures in telecommunications, internet, internet service provider or hosting facilities, power shortages) or acts undertaken by third parties, including without limitation, denial of service attacks, and (ii) delay in your receipt of the Service as a result of technical failures by telecommunications, digital transmission or data network providers, or other causes beyond our control.
Neither party will, by mere lapse of time, without giving express notice thereof, be deemed to have waived any breach, by the other party, of any terms or provisions herein. The waiver, by either party, of any such breach, will not be construed as a waiver of subsequent breaches or as a continuing waiver of such breach.
